Terms of Service – Sposby Limited

Please read these Terms of Service (the “Terms”), which set forth the legally binding terms and conditions between you and Sposby Limited (the “Company” or “Sposby” or “we”, “our” or “us”). It governs your access to and the use of the Company’s website, applications, and services provided by Sposby (the “Platform” or “Services”).

Our collection and use of your personal information in connection with your use of our services is described in our Privacy Policy.
Your access to and use of our Services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, agents, and any other person who accesses or uses our Services. Our website is not directed at you if we are prohibited by any law of any jurisdiction from making the information on our website available to you and is not intended for any use that would be contrary to your local law or regulation.

You agree that by accessing the Services, you have read, understood, and agreed to be bound by these Terms. AS USED IN THESE TERMS, THE SERVICES MEANS THE ENTIRETY OF THE WEBSITE AND APPLICATION INCLUDING, BUT NOT LIMITED TO, ALL CONTENT, PRODUCTS, SERVICES, INFORMATION, AND ANY PORTIONS THEREOF. BY USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. BY AGREEING TO THESE TERMS, YOU ARE WAIVING YOUR RIGHT TO SUE IN COURT AND YOUR RIGHT TO BRING ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING AGAINST US. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS, WE’LL BE SAD TO SEE YOU GO, BUT PLEASE DO NOT USE THE SERVICES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SERVICES, OR THESE TERMS IS TO CEASE USING THE SERVICES. IF YOU DO NOT AGREE WITH THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Definitions

In these Terms,

“Account”means a unique personified account registered in the name of the User and which contains details of the User’s activities/operations on the Platform.

“Content”means any fantasy football tournament content, gameplays, posts, images, or other material made available on the Platform.

“Platform”means, collectively the Company’s Site, and other related software applications provided by Sposby.

“Service(s)”means all products, content and services provided to you by Sposby and as described in clause 4 of these Terms.

“Site”means the website for the Services provided by Sposby which can be found at sposby.com

“Terms”means these standard terms of service.

“User”means persons, customers and visitors who access the Service.

2. Age Restriction

Our Platform and Services are directed at persons who are 18 years of age or older. By accessing or using our Platform or Services, you represent and warrant that you are 18 years old or older, of legal age to enter into these Terms, and you accept and are bound by these Terms.

3. Acceptance of Terms

The Service is offered subject to acceptance of all the terms and conditions contained in these Terms and all other operating rules, policies, and procedures that may be published on the Platform, which are incorporated by reference, including operating rules, policies, and procedures of third-party service providers to the Platform that are referenced herein. These Terms apply to every user of the Service.

Sposby reserves the right, at its sole discretion, to modify or replace these Terms from time to time by posting the updated terms on the Platform. It is your responsibility to check the Terms periodically for changes. If you object to any such changes, your sole recourse will be to cease using the Platform and the Service. Your continued use of the Service following the posting of any changes to the Terms will indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.

Sposby reserves the right to change, suspend, or discontinue the Services (including, but not limited to, the availability of any feature, database, or Information) at any time for any reason. Sposby may also impose limits on certain features and Services or restrict your access to parts of or the entire Platform without notice or liability.

4. Scope of Sposby’s Services
The Services provided by Sposby are designed to offer an interactive fantasy football platform that lets users step into the role of a team manager, create fantasy football teams, compete in tournament formats with team performance based on real-life player statistics and win points based on real-life player performances. Our Services include, but are not limited to:
  1. 4.1 Fantasy Football Tournaments: We enable Users to participate in various tournament formats (daily, weekly or custom), including head-to-head, multipliers, and guaranteed prize pool contests, each with different entry fees and prize structures. Users can browse available tournaments, select their preferred contest type, and build a fantasy football team by choosing real-life players within a set budge
  2. 4.2 Team Management Tool: We allow Users to create, edit, and submit their fantasy football teams before the start of each tournament, ensuring strategic lineup selection. Users are required to submit their line-ups before the tournament deadline, compete with other Users based on player performance metrics, with match data being synced in real-time from official sources.
  3. 4.3 Real-Time Scoring Updates: We enable live tracking of player statistics and team standings, allowing Users to monitor their team’s performance as matches progress. Once a tournament begins, users receive real-time updates on player performances, team standings, and projected winnings. Users can also track their team's performance through a live leaderboard, with points awarded based on real-life player statistics and receive notifications of their rankings and progress.
  4. 4.4 Prize Distribution: On our Platform, winnings are distributed to top-ranking teams based on tournament rules, with real cash prizes available for eligible Users. At the end of each tournament, top-ranking teams win cash prizes or other rewards, which are credited to their wallet accounts. Users can fund their accounts through secure payment methods and withdraw winnings in accordance with these Terms. Users are also eligible to earn referral bonuses upon inviting others to sign up to the Platform.
  5. 4.5 User Dashboard & Account Management: We provide a personalised dashboard which requires profile set-up upon signing up to the Platform where Users can track their contest history, manage funds, and update account details. To ensure a smooth operation of User accounts, we create features such as lineup submission limits, and customer support to promote fair play and responsible gaming.
  6. 4.6 UCommunity & Social Features: We foster an interactive community by enabling players engage with other users through leaderboards, providing referral bonuses to users who invite friends to join the Platform, and encouraging social media engagement for user discussions, thereby enhancing Platform experience.
5. Accounts
  1. 5.1 To access our Services as a User, you are required to sign up on the Platform, create an account by providing your full name, email address, password, date of birth, phone number, billing details/payment method information and any other information we require from you to process or create your Account. You must also verify your account via email confirmation, or a One-Time Password (OTP) sent to your registered phone number or email address.
  2. 5.2 You must provide accurate, current and complete information during the registration process and always keep your Account information up to date.
  3. 5.3 You are responsible for safeguarding the password that you use to access the Services on the Platform and for any activities or actions under your password.
  4. 5.4 You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your Account.
  5. 5.5 You may not use as a username, the name of another person or entity or a name that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorisation, or a name that is otherwise offensive, vulgar or obscene.
  6. 5.6 You are liable for all activities conducted through your Account, unless such activities are not authorised by you and you are not otherwise negligent (such as failing to report the unauthorised use or loss of your credentials).
  7. 5.7 You must notify us immediately upon learning that someone else may be using your Account without your permission (or if you suspect any other breach of security) by contacting our customer help through filling the customer help form or contacting us at [email protected]
  8. 5.8 When you create an Account with us, you must provide us with information that is accurate, complete, and current always. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your Account on our Platform.
6. Personal Information
  1. 6.1 You agree to grant Sposby an irrevocable right to collect and use any information you provide us, or we collect from you, for the specific purpose of providing you with our Services.
  2. 6.2 You hereby agree and authorise us to verify the information provided by you to us against your information including but not limited to your phone number, email address, and any other information that will enable us to identify you and comply with the regulatory “Know Your Customer” (KYC) requirements in the Federal Republic of Nigeria.
  3. 6.3 Sposby reserves the right to request further information from you pertaining to you or the creation of your Account at any time. Failure to provide such information within the time required by Sposby may result in Sposby declining to accept your request or a delay in the creation of your Account.
  4. 6.4 You consent that we may disclose and or transfer your information to third parties or any other entity we deem necessary to perform our obligations to you under this Agreement.
  5. 6.5 Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and share your personal information.
7. Content and Intellectual Property
  1. 7.1 All Content created by Sposby, including but not limited to fantasy football tournament content, videos, logos, designs, software, images, text, graphics, illustrations, is the property of Sposby and is protected by applicable intellectual property laws. Our trademarks may not be used in connection with any product or service without our prior written consent.
  2. 7.2 Users may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, store, or transmit any content created by Sposby on the Platform without our prior written consent.
  3. 7.3 You understand that when using the Services you may be exposed to content from a variety of sources, and that we are not responsible for the accuracy, usefulness, or intellectual property rights of or relating to such content. You further understand and acknowledge that you may be exposed to content that is offensive, indecent or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against us with respect thereto.
  4. 7.4 We are not responsible for and do not endorse content that is posted on the Platform, including without limitation any opinion, recommendation or advice expressed therein, and we expressly disclaim any and all liability in connection with such content. We may, but have no obligation to, pre-screen, monitor, edit, or remove any content or accounts containing content that we determine in our sole discretion violates this Agreement.
  5. 7.5 We appreciate hearing from our Users and welcome your comments regarding our Services. Please be advised, however, that if you send us creative suggestions, ideas, drawings, concepts, inventions, or other information (collectively, the “Submission”), you grant us a royalty-free, worldwide, perpetual license to use the Submission for any purpose whatsoever, commercial or otherwise. None of the Submission shall be subject to any obligation of confidence on our part and we shall not be liable for any use or disclosure of any Submission.
8. Fees and Payments
  1. 8.1 We charge fees for the use and provision of certain Services (“Fees”) available on the Platform. All Fees are exclusive of applicable taxes (e.g. sales, use, or value-added tax) and shipping costs, unless otherwise stated, and you are solely responsible for the payment of any such charges (the “Charges”). Fees and Charges may vary depending on your chosen payment method. The Fees and Charges for our products and Services will be confirmed to you before you complete a payment.
  2. 8.2 You are able to fund your account wallet (your “Wallet”) on the Platform from which you may pay the Fees, via secure payment methods such as credit/debit methods, digital wallets and bank transfers.
  3. 8.3 When you choose to fund your Wallet to pay the Fees, you agree to provide accurate and up-to-date information required to process your order. This may include, but is not limited to:
  4. 8.3.1 Personal Information. Your name, email address and phone number.
  5. 8.3.2 Payment Information. Your payment card details, billing address, and any other details necessary to facilitate payment processing.
  6. 8.4 By funding your Wallet, you represent that the billing and shipping information provided is accurate and that you are authorised to use the payment method provided.
  7. 8.5 Payment deposits will be securely processed through our third-party payment partners, including but not limited to Paystack, Opay, and Flutterwave. These third-party providers handle all payment transactions and related data securely. By submitting your payment details, you consent to these third-party services processing your payment in accordance with their respective privacy policies and terms of service.
  8. 8.6 In order to select a fantasy football tournament, you are required to pay the entry fee (“Tournament Entry Fee”) using the available balance in your Wallet.
  9. 8.7 Payments are automatically accepted where they meet all security and verification requirements. However, you will be notified where a payment is rejected with the applicable reason. A payment may be rejected under the following conditions:
  10. 8.7.1 insufficient funds in the User’s payment method;
  11. 8.7.2 transaction decline by bank or payment gateway;
  12. 8.7.3 detection of fraudulent or suspicious activity; or
  13. 8.7.4 invalid payment details entered during the transaction.
  14. 8.8 When you make a payment, you agree to pay all specified Fees and Charges by using any of the payment methods which we may accept from time to time. We reserve the right to remove or amend the available payment methods at our sole discretion.
  15. 8.9 We may change the Fees and Charges payable for the purchase of our products or Services at any time without any notice to you. We may also institute new Fees or Charges or bill the appropriate Fee or Charge for the use of the Services or any part thereof where a Fee or Charge was not previously billed.
  16. 8.10 We may issue refunds to your Wallet under specific conditions, such as cancelled tournaments, duplicate charges, or processing errors. Users may request a refund through customer support, and the request will be reviewed based on eligibility.
  17. 8.11 Users can withdraw winnings through secure bank account payout options. Approved withdrawals are processed within 24-72 hours, depending on the selected payment account.
9. Users’ Representations & Warranties
Representations and warranties are statements and promises made by you to Sposby, which we rely on as being accurate in our dealings with you. You make the following representations and warranties to us at the time of agreeing to these Terms and every time you use the Services:
  1. 9.1 you are over the age of 18 years and you are of sound mind and have the capacity to enter into a legally binding contract;
  2. 9.2 all personal information that you provide about yourself is accurate and true to the best of your knowledge; and
  3. 9.3 you are not breaching any applicable laws or regulations that are applicable to you.
10. Prohibited Activities
  1. 10.1 You shall not use the Platform for any purpose that is prohibited by these Terms. You are responsible for all your activity in connection with the Services. Violation of any of our rules or policies may result in the termination and cancellation of your activity and/or account. You acknowledge and agree that we may terminate any Sposby activity initiated at any time for any reason (including, but not limited to, our independent assessment or the receipt of claims or allegations from third parties or authorities).
  2. 10.2 You shall not utilise the Platform or the Services for any illegal purpose.
  3. 10.3 You are solely responsible for compliance with all laws, rules, regulations, and tax obligations that may apply to your use of the Services. In connection with your use of the Platform, you will not and will not assist or enable others to:
  4. 10.3.1 breach or circumvent any applicable laws or regulations, agreements with third-parties, third-party rights, or these Terms;
  5. 10.3.2 use the Platform for any commercial or other purposes that are not expressly permitted by these Terms or in a manner that falsely implies endorsement, partnership or otherwise misleads others as to your affiliation with Sposby;
  6. 10.3.3 harm, stalk, harass or otherwise violate the rights of others in any way in your use of the Platform;
  7. 10.3.4 impersonate any person or entity, including, but not limited to, a Sposby official, or falsely state or otherwise misrepresent your affiliation with a person or entity;
  8. 10.3.5 copy, store or otherwise access or use any information, including personally identifiable information about any other User, contained on the Platform in any way that is inconsistent with Sposby’s Privacy Policy or these Terms or that otherwise violates the privacy rights of Users or third parties;
  9. 10.3.6 use the Platform in connection with the distribution of unsolicited commercial messages ("spam");
  10. 10.3.7 intentionally or unintentionally violate any applicable local, state, national or international law;
  11. 10.3.8 discriminate against or harass anyone on the basis of race, tribe, origin, religion, gender, physical or mental disability, medical condition, marital status, or age, or otherwise engage in any abusive or disruptive behaviour;
  12. 10.3.9 use, display, mirror or frame the Platform, or any individual element within Sposby, Sposby’s name, any trademark, logo or other proprietary information belonging to Sposby, or the layout and design of any page or form contained on a page in the Platform, without Sposby’s express written consent;
  13. 10.3.10 dilute, tarnish or otherwise harm Sposby’s brand in any way, including through registering and/or using Sposby or derivative terms in domain names, trade names, trademarks or other source identifiers, or registering and/or using domain names, trade names, trademarks or other source identifiers that closely imitate or are confusingly similar to Sposby’s domains, trademarks, taglines, or promotional campaigns;
  14. 10.3.11 use any robots, spider, crawler, scraper or other automated means or processes to access, collect data or other content from or otherwise interact with the Platform for any purpose;
  15. 10.3.12 avoid, bypass, remove, deactivate, impair, descramble, or otherwise attempt to circumvent any technological measure implemented by Sposby or any of Sposby’s providers or any other third party to protect the Platform;
  16. 10.3.13 attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Platform;
  17. 10.3.14 take any action that damages or adversely affects, or could damage or adversely affect the performance or proper functioning of the Platform;
  18. 10.3.15 violate or infringe anyone else’s rights or otherwise cause harm to anyone.
  19. 10.4 If you feel that any User you interact with through the Platform, is acting or has acted inappropriately, including but not limited to anyone who (i) engages in offensive, violent or sexually inappropriate behaviour, (ii) you suspect of stealing from you, or (iii) engages in any other disturbing conduct, you should immediately report such person to the appropriate authorities and then to Sposby by contacting us with details of police report or other law enforcement report ; provided that your report will not obligate us to take any action beyond that required by law (if any) or cause us to incur any liability to you.
11. Links to Other Websites
  1. 11.1 Our Platform may contain links to third-party websites or services that are not owned or controlled by Sposby.
  2. 11.2 Sposby has no control over and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Sposby shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.
  3. 11.3 We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
12. Termination
  1. 12.1 We may terminate or suspend our Service to you immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
  2. 12.2 Upon termination, your right to use the Platform and our Service will immediately cease.
  3. 12.3 You may terminate your Account at any time by contacting us at [email protected]. You may also delete your account by following account deletion instructions on the Platform or by contacting us at [email protected]. We will endeavour to delete your account within 48 hours of receiving a request and after deletion of your account, you will no longer be able to log into the Platform. In addition, we will delete any information associated with your Account, with the exception of information required for transactional records.
13. Indemnity
You agree to indemnify and hold harmless Sposby, its affiliates, subsidiaries, officers, directors, employees and agents, against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest penalties and legal and other reasonable professional costs and expenses) suffered or incurred as a result of:
  1. 13.1 your fraudulent or illegal use of the Services or the Platform;
  2. 13.2 your negligence or any default by you of any of these Terms;
  3. 13.3 any inaccurate or incomplete information that you have knowingly provided to us;
  4. 13.4 allowing any other person to access your account either with your permission or because of your failure to keep your username and password private; and
  5. 13.5 any claim made against you for actual or alleged infringement of Sposby’s Intellectual Property.
14. Limitation of Liability
In no event shall Sposby, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
  1. 14.1 your use of the Platform or the Services or your inability to use the Platform or the Services;
  2. 14.2 any conduct or content of any third party on the Platform;
  3. 14.3 any unauthorised access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose;
  4. 14.4 any legal proceedings between you and any third parties.
15. Disclaimer
  1. 15.1 Your use of the Service is at your sole risk. The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. The Platform is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
  2. 15.2 The Services provided by Sposby are intended for informational and entertainment purposes only. The content is not intended to constitute professional advice, including but not limited to commercial, industrial or financial advice.
  3. 15.3 Users acknowledge that the utilisation of the Service is at their own risk and discretion. Sposby shall not be held liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the use or reliance on the Service.
  4. 15.4 On sposby.com past performance is not indicative of future results, and no guarantees are made regarding continuous benefit to the Users. Users should be aware that utilisation of Sposby's Services and/or Information do not guarantee any specific outcomes as may be expected by the User. All uses of the contents of the Platform, other than for personal uses, are prohibited.
  5. 15.5 Sposby, its subsidiaries, affiliates, and its licensors do not warrant that a) the Platform will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Platform is free of viruses or other harmful components; or d) the results of using the Platform will meet your requirements.
16. Governing Law
  1. 16.1 These Terms shall be governed and construed in accordance with the laws of the Federal Republic of Nigeria without regard to its conflict of law provisions.
  2. 16.2 Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service.
17. Dispute Resolution
  1. 17.1 Any disputes arising under or in connection with the validity, interpretation and performance of these Terms between Sposby and any third parties that cannot be resolved amicably by the parties through negotiation within 30 (thirty) days may be escalated by either Party as follows:
  2. 17.1.1 For mediation, facilitated by the Lagos Multidoor Court-House (LMDC) before a single mediator in accordance with the Arbitration and Mediation Act, 2023. A single mediator shall be appointed jointly by the Parties within ten (10) Business Days of the expiry of the thirty (30) Business Days reserved for amicable settlement in Clause 17.1 above, failing which, the Mediator shall be appointed by the LMDC ; and
  3. 17.1.2 Any disputes that cannot be resolved amicably by the parties through mediation within 30 (thirty) days shall be resolved by Arbitration at the Lagos Court of Arbitration (LCA) before a single arbitrator in accordance with the Arbitration and Mediation Act 2023.
  4. 17.1.3 The Parties shall endeavour in good faith to mutually agree on the selection of an arbitrator. If the Parties cannot mutually agree on the selection of an arbitrator within 10 (ten) days of the request, they shall apply to the LCA to appoint an arbitrator. Arbitration proceedings shall be conducted in Lagos. The arbitrator will be requested to render an award within 90 (ninety) days and to provide, in writing, the reasoning for the award. The decision of any such arbitrator shall be final and binding on the parties.
  5. 17.1.4 Each party shall bear its cost in connection with the Arbitration and the arbitrator’s fees shall be split equally between both parties.
18. Force Majeure

Sposby shall not be liable for failure to perform, or for delay in performing its obligations hereunder if such failure or delay shall be due to natural disasters, war, riot, civil commotion, civil protests, weather, pandemics, epidemics, labour disputes, failure of sub-contractors or any other cause beyond its reasonable control and whether or not of a similar nature to the foregoing.

19. Changes to Terms & Conditions

Sposby reserves the right, in its sole discretion, to change the Terms of Service. Sposby encourages you to periodically review the Terms to stay informed of our updates.
